Terms and Conditions for the Forwardly iPhone 15 Giveaway (the “Promotion”)

This Promotion is sponsored by Forwardly, a part of ForwardAI, Inc. (“Forwardly”).

Promotional Period

The Forwardly iPhone Giveaway begins on February 15th, 2024, at 12:01 am PT and ends on December 16th, 2024, at 12:01 PT (“Promotional Period”).

Eligibility

To be eligible for the Promotion, the person must:

• Have a fully verified Forwardly business account in good standing at the time of participation;
• Be a legal resident of the United States of America;
• Participants must be the age of majority in their jurisdiction of residence;
• Be the age of majority, or older, in their state of residence at the time of participation; and
• Meet the requirements set out below. (the “Client”)

Forwardly reserves the right to exclude the Client from participation in the Promotion if Forwardly suspects fraudulent behavior, gaming of the system, inappropriate or derogatory language or information, or a violation of these terms, including but not limited to a Client transferring money back and forth from other businesses in order to qualify for a reward.

Payment Eligibility

All participating businesses (“Business Customers”) must have fully connected and verified business accounts with Forwardly. A fully connected business account requires successful bank account linkage via Plaid and an accounting software integration. A verified business account must have successfully completed Forwardly’s Know Your Business (KYB/KYC) verification system. Payments must be received using Forwardly’s “Pay by Bank” option, which supports instant Bank-to-Bank transfers for the USA market. Credit cards or any other payment methods don’t qualify for this Promotion. Payments from individuals or non-business entities (“Consumers”) do not qualify for this Promotion.

Qualifying Action

To participate in the Promotion, eligible businesses must submit the linked HubSpot form from the Promotion invitation.

• Receive a minimum of $100,000 in payments through the Pay by Bank option on the Forwardly platform, with support for RTP, FedNow, and ACH. All payments must be domestic transactions within the United States.
• Receive payments from a minimum of 5 distinct Business Customers, each unrelated to the others. All transactions should be conducted at arm’s length, exclusively between independent Business Customers. Each Business Customer must connect its bank account securely using online banking credentials through Plaid, and payments must be made through the connected bank accounts.
• Complete all transactions and deposit funds within the specified Promotional Period.

Reward

The Reward is based on the cumulative amount of money received by a business from Business Customers during the Promotional Period.

All amounts are shown in the United States Dollar. Limit of one (1) Reward per Business. Other specifications of the Reward are subject to the availability of the defined award. Forwardly reserves the right to substitute the specifications of the Reward if the Client’s preferred specifications are not available. Forwardly is not responsible for any costs associated with using the Reward. The Reward is non-transferable and cannot be combined with other offers or promotion codes, and cannot be applied retroactively for any payments received outside of the Promotional Period.

Delivery of Reward

Eligible Clients will receive communication to verify the specification of their Reward and confirm their mailing address and need to respond within 14 days. If a client fails to respond to the aforementioned communication, then the Reward will not be sent and will be considered unclaimed. The Reward will be sent to the Client via postal mail. Rewards will be sent within 10 weeks of specification and mailing address confirmation. The Client’s Forwardly account must be in good standing at the time of the reward dispersal. No responsibility is assumed by Forwardly once the Reward has been shipped. If a reward is unclaimed, returned, or forfeited for any reason, it will not be reissued. The Reward remains subject to change at Forwardly’s sole discretion. Forwardly reserves the right to, for any reason and at our discretion, substitute and/or modify the Reward with another prize of equal or greater value.

Referral Bonus

Eligible participants in this Promotion may also qualify for referral bonuses through the Forwardly Partner Program under its existing terms and conditions.

General Terms

Forwardly reserves the right to modify, suspend, or terminate the Promotion at any time for any reason without notice. Forwardly is not responsible for any late, lost, misdirected, or undeliverable entries or for any technical errors or malfunctions. By participating, entrants agree to be bound by these terms and conditions and the decisions of Forwardly, which are final and binding in all respects. Our standard terms relating to your use of Forwardly and any agreements that apply to your Forwardly account each apply and will not be affected in any way by this offer.

By accepting this award, you agree to allow us to promote your name and business name as a winner for marketing and advertising purposes. Any social posts made by an Eligible Client about the giveaway may be used in perpetuity by Forwardly.
